Terms of Service

The service

Netrecx, operated by Dryshades Private Limited (CIN U47912HR2025PTC137850, GSTIN 06AAMCD1475B1ZW), is a business-to-business industrial sourcing and procurement platform. We receive requirements from buyers, source against them through a vetted supplier network, and contract directly with both sides.

Netrecx is the contracting counterparty. Buyers purchase from Netrecx; suppliers sell to Netrecx. We are not a marketplace or an agent between the two.

Eligibility and accounts

Accounts are for businesses and their authorised personnel. You confirm you are authorised to act for the organisation you register. Keep your credentials secure — you are responsible for activity under your account. Tell us immediately at info@netrecx.com if you suspect unauthorised use.

We may decline, suspend or withdraw an account where information is materially inaccurate, where use breaches these terms, or where required by law.

Quotations and orders

• A quotation is an invitation to proceed, valid for the period stated on it, and subject to stock and confirmation at the time of order.
• Prices are quoted in Indian Rupees and exclude taxes unless the quotation states otherwise.
• A binding contract forms when we accept your purchase order or issue ours, not when a quotation is viewed or a counter is proposed.
• Lead times are estimates based on supplier confirmation and are not guarantees unless expressly agreed in writing.

Supplier obligations

Suppliers quoting through the platform warrant that goods are genuine, correctly specified, and lawfully supplied; that they hold the authorisations they claim; and that they will honour confirmed prices and lead times for the validity period stated. Counterfeit, misdeclared or grey-market goods are grounds for immediate removal and recovery of loss.

Payment

Payment terms are those stated on the applicable purchase order or invoice. Overdue amounts may attract interest at the rate permitted by law. We may withhold dispatch or suspend an account where payment is materially overdue.

Confidentiality

Each party will keep the other's commercial information confidential and use it only to perform the transaction. Our specific commitments on bills of material and requirement data are set out in our confidentiality policy.

Intellectual property

The platform, its content, structure and code remain ours. You may use them to transact with us. You may not copy, scrape, resell or reverse engineer any part of the platform, or use it to build a competing service.

Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

Subject to that, our total liability arising from any order is limited to the value of that order. We are not liable for indirect or consequential loss, including loss of profit, production, contracts or anticipated savings.

Governing law

These terms are governed by the laws of India. The courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
